Preliminary Studies on Company’s Social Liability
Abstract: This article starts from the origin of the social liability of companies (“SLC”). After detailed investigation on theories and practice of SLC in some major countries， international community and industrial circles, it attempts to outline the nature of SLC and further proves the inevitable course of the existence of SLC from social and economic approaches, then analyzes some defects and problems of the theory, finally advances two measures to make SLC real: one concerns system designing, establishing a new corporate governance model on the basis of directorism which indicates to enlarge the managerial power of the board of directors; the other relies on legislation, that is regulating SLC by laws.
