要么是楼主抄写的时候写错了，要么是原本编合同的人抄袭错了，呵呵。楼主抄写错误可以原谅，但是居然把这样文字不通的英文合同拿出来签署的人实在是勇气可嘉。of the economic benefit,if any,(exclusive of costs)to itresulting，这一句前后词语顺序不对。

正确的范本是：
“Gains” means with respect to any Party, an amount equal to the present value of the economic benefit to it, if any (exclusive of Costs), resulting from the termination of a Terminated Transaction for the remaining term of such Transaction, determined in a commercially reasonable manner, subject to Section 5.2 hereof.

这句话好象不通顺。是不是合同的里的话啊？
意思是不是说，即便是获得与现有价值相等的赔偿（不包括成本），一方要终止合同，也必须给出一个合理的商业理由。
