中国的上市公司的绝大多数是由国有大中型企业改制转换而来，这种历史原因就决定了其产权结构的特点，也就决定了公司治理结构中的制衡机制和权利形式。而独立董事制度的引入正是这一特点在公司治理中的充分体现。但是，独立董事制度在我国的发展并不是一帆风顺，从设定到推广都问题百出。独立董事制度将何去何从，本文将从以下几个方面对此展开进一步的论述。1、我国公司独立董事制度治理中的现状。2、独立董事制度的作用。3、关于如何完善独立董事制度的建议。

Summary
The great majority of those listed companies in China are re-organized from large and medium-sized state-owned enterprises, so that this historical reason has determined not only the property structure of those enterprises, but also the checks and balances mechanism and right form in the management structure of company. The introduction of Independent Director system sufficiently embodys the aforesaid specialty in the management of the company. However, Independent Director System has not been developing stably. There are plenty of problems in the process from establishment to application. What course to follow of the Independent Director System?
